Lichidarea întreprinderii prin intermediul reprezentantului
Fondatorul și administratorul persoanei juridice se află peste hotarele țării și dorește lichidarea/radierea întreprinderii. Poate fi parcursă procedura de către reprezentantul împuternicit în acest sens de către administrator?
Răspunsul la această întrebare deținătorii unui abonament al „monitorului fiscalFISC.md” îl vor găsi în ediția din februarie a revistei în articolul „Lichidarea întreprinderii prin intermediul reprezentantului”, elaborat de către Valeria Sorocean.
Autorul atrage atenția că nici Legea nr. 220/2007 privind înregistrarea de stat a persoanelor juridice şi a întreprinzătorilor individuali care reglementează procedura și etapele lichidării întreprinderii, nici Codul civil nu restricționează dreptul organului de conducere al persoanei juridice de a acorda împuterniciri unei alte persoane pentru ca aceasta să efectueze acțiunile necesare lichidării întreprinderii. Respectiv, lichidarea întreprinderii poate fi realizată și prin intermediul reprezentantului, care are delegate împuternicirile corespunzătoare de către organul de conducere al persoanei juridice.
Care sunt acțiunile necesare de a fi întreprinse de reprezentantul împuternicit în vederea parcurgerii procedurii de lichidare, găsiți în nr. 2 (93) al „monitorului fiscalFISC.md”.
