Creșterea sau pierderea de capital în cazul tranzacțiilor cu titluri (cote) de participare dobândite în cadrul programului stock-option plan
Conform Serviciului Fiscal de Stat, obligația persoanei fizice aferente determinării creșterii sau pierderii de capital în cazul tranzacțiilor cu titluri (cote) de participare dobândite în cadrul programului stock-option plan (SOP) este reglementată de art.40 alin. (62) din Codul fiscal.
Astfel, creşterea sau pierderea de capital în cazul tranzacţiilor cu titluri (cote) de participare dobândite la preţ preferenţial sau gratuit în cadrul SOP se determină ca diferenţa dintre preţul de vânzare (suma încasată/venitul obţinut) a titlurilor (cotelor) de participare şi baza valorică a acestora.
În acest sens, prevederile art.42 alin.(1) lit. j) din Codul fiscal, stabilesc că baza valorică a activelor tranzacționate în cadrul SOP reprezintă valoarea titlurilor (cotelor) de participare tranzacţionate în cadrul stock option plan, care reprezintă preţul de achiziţie preferenţial stabilit la data acordării dreptului.
Pentru titlurile (cotele) de participare dobândite cu titlu gratuit, baza valorică a acestora este considerată egală cu zero.
