Acționarii majoritari ai Alliance Insurance Group, obligați să-și vândă acțiunile

O decizie în acest sens a fost luată săptămâna trecută de Consiliul Comisiei Naționale a Pieței Financiare (CNPF). Acțiunea urmează a fi realizată în termen de trei luni, până pe data de 16 decembrie. Decizia Consiliului CNPF este argumentată prin neexecutarea de către persoanele cu funcții de raspundere din cadrul Alliance Insurance Group a hotărârii CNPF "cu privire la prescrierea unor asiguratori licențiați", dar și de faptul că acționarii majoritari nu au prezentat rapoartele financiare anuale cu notele explicative pentru anul 2015. Prin aceeași decizie, Consiliul CNPF suspendă dreptul de vot al acționarilor menționați, dreptul de a convoca și a desfășura adunări generale a acționarilor, de a propune candidați pentru funcția de membru al consiliului, al organului executiv sau a comsiei de cenzori ai Alliance Insurance Group. Aceste persoane nu mai au nici dreptul de a primi dividende. Dacă acționarii nominalizați nu se vor conforma prevederilor deciziei Comisiei Naționale a Pieței Financiare, organele executive ale companiei vor trebui să dispună timp de 15 zile anularea acțiunilor deținute de aceștia și să emită alte acţiuni pe care să le vândă. Acționarii dețin următoarele cote în cadrul Alliance Insurance Group:
  • GENERASHON Financial B.V. - 57%;
  • BELLEFOND Invest - 19,53%;
  • PAPILLON Invest LTD - 10,7%.
