Politica fiscală și vamală 2021: ajustarea conceptului de reprezentanță

Proiectul legii privind politica fiscală și vamală pentru anul 2021 votat ieri în lectura a doua de Parlament prevede și ajustarea conceptului de reprezentanță permanentă prin racordarea noțiunilor din legislația națională cu cele din Modelul Convenției cu privire la evitarea dublei impuneri și prevenirea evaziunii fiscale.



Astfel, din motivul că nu existau diferențe între conceptele de reprezentanță permanentă și bază fixă, definiția de reprezentanță permanentă devine aplicabilă la ceea ce a constituit anterior bază fixă.



De asemenea, sunt operate ajustări la noțiunea de reprezentanță permanentă, în contextul în care art. 5 pct. 29 din CF stabilește noțiunea de „subdiviziune” drept unitate structurală a întreprinderii (filială, reprezentanță) situată în afara locului ei de reședință de bază, care exercită unele din atribuții și, respectiv, include deja un set de forme de organizare a activității. Astfel, reprezentanța permanentă va reprezenta un loc de conducere, o subdiviziune, un oficiu, o fabrică, o uzină, un atelier, precum și o mină, sondă petrolieră/de gaze, o carieră sau orice alt loc de extracție a resurselor naturale sau de cultivare a culturilor agricole.



Documentul prevede completarea art. 5 din CF cu un punct potrivit căruia, prin derogare, reprezentanța permanentă nu presupune desfășurarea de către nerezident în Republica Moldova a genurilor de activitate cu caracter pregătitor sau auxiliar, în lipsa criteriilor de reprezentanță permanentă. La genurile de activitate menționate se atribuie:
• Utilizarea de instalații exclusiv în scopul depozitării/expunerii produselor ce aparțin nerezidentului
• Menținerea unui stoc de produse/mărfuri ce aparțin nerezidentului exclusiv în scopul depozitării
• Menținerea unui stoc de produse ce aparțin nerezidentului exclusiv în scopul depozitării/expunerii
• Menținerea unui loc fix de afaceri exclusiv în scopul achiziționării mărfurilor de către nerezident
• Menținerea unui loc fix de afaceri exclusiv în scopul colectării/distribuirii de informații, marketingului, publicității/cercetării pieței, realizate de nerezident, dacă asemenea activitate nu este una de bază
• Menținerea unui loc fix de afaceri în scopul semnării de către o persoană în numele nerezidentului a contractelor
• Menținerea unui şantier/proiect de construcţie pentru o perioadă ce nu depășește 6 luni.
