Proiectul ce are drept scop abordarea echitabilă a activității întreprinderilor, înregistrat în Parlament

Conform proiectului elaborat de Ministerul Economiei, bunurile atribuite la domeniul public și bunurile cu destinație socială, cum ar fi fondul locativ, grădinițele de copii, taberele de odihnă vor fi transmise întreprinderilor doar cu drept de gestiune economică și luate la evidență contabilă la sub-conturi separate, aceasta pentru a nu admite înstrăinarea lor. Se mai propune şi stabilirea unui plafon pentru valoarea capitalului social al întreprinderilor, în mărime de 20 mii lei. Necesitatea elaborării proiectului are la bază atribuțiile insuficiente ale fondatorului (Consiliul Municipal și Primarul General) referitor la numirea și la eliberarea din funcție a administratorului, repartizării și utilizării profilului net etc. Autorii proiectului își propun să actualizeze și să uniformizeze politicile publice de administrare a întreprinderilor de stat și municipale la normele de guvernare corporativă, determinarea și delimitarea clară a atribuțiilor fondatorului, consiliului de administrație și ale administratorului. Proiectul reglementează particularitățile fondării, funcționării și încetării activității de stat și municipale, modul de înregistrare, utilizare a bunurilor transmise în gestiune și competența lor. Documentul mai prevede crearea la întreprinderea de stat/municipală a unui capital de rezervă, instituirea comisiei de cenzori, reglementarea procesului de încetare a activității întreprinderii, precum și a situațiilor de comflict de interese. Instituirea unei comisii de cenzori în cadrul întreprinderilor are ca scop evidența în contabilitate a patrimoniului și a fondurilor financiare ale întreprinderii, verificarea executării bugetului de venituri și cheltuieli, precum și modul de respectare a legislației în domeniul financiar, se menționează în proiect. El este elaborat cu scopul abordării echitabile a activității întreprinderilor de stat și municipale, ținând cont de recomandările Curții de Conturi. La elaborarea proiectului s-a ținut cont de prevederile Codului Civil, Legii cu privire la antreprenoriat și întreprinderi, Legii cu privire la proprietatea publică a unităților administrative-teritoriale etc.
