Succesorul va dobândi calitatea de asociat de la data operării modificărilor în Registrul de stat al persoanelor juridice

Succesorul va obţine calitatea de asociat, în cazul dobândirii părții sociale prin succesiune, de la data operării modificărilor în Registrul de stat al persoanelor juridice, dacă actul de constituire nu prevede că dobândirea acestei calități este condiționată de acordul asociaților. Pe de altă parte, dacă actul de constituire prevede că dobândirea de către succesor a calității de asociat este condiționată de acordul asociaților, iar acordarea unei astfel de calități succesorului îi este refuzată, atunci asociatul va fi obligat să dobândească partea socială a succesorului la un preț nu mai mic decât cel mai mare preț dintre prețurile oferite de asociați și cel determinat pe baza valorii activelor nete la data prezentării de către succesor a actului ce atestă dreptul asupra părții sociale dobândite prin succesiune. Legea pentru modificarea și completarea Legii privind societățile cu răspundere limitată a fost publicată în Monitorul Oficial, nr. 265-273 din 28 iulie 2017. Potrivit modificărilor, Legea este completată cu două alineate noi ce se referă la înstrăinarea și dobândirea părții sociale. Cât privește valoarea activelor nete, aceasta va fi confirmată de către un auditor, iar la acordul părților, prețul părții sociale va fi determinat de un evaluator. Confom Legii, societatea va suporta cheltuielile pentru confirmarea valorii activelor nete de către auditor sau, după caz, cheltuielile pentru evaluare. În același timp, dacă niciunul dintre asociați și nici societatea nu dobândesc partea socială în termen de 3 luni de la data prezentării de către succesor a actului ce atestă dreptul asupra părții sociale dobândite prin succesiune, cel din urmă dobândește calitatea de asociat. În aces caz, succesorul va putea solicita operarea modificărilor în Registrul de stat al persoanelor juridice. Legea mai prevede că partea socială va fi considerată de drept a dobânditorului începând cu data operării în Registrul de stat al persoanelor juridice a modificării privind înstrăinarea sau dobândirea părții sociale. În acest sens nu va fi necesară modificarea actului de constituire al societății. Tot în ediția Monitorului fiscal, nr. 265-273 din 28 iulie a fost publicat și Decretul Președintelui privind promulgarea respectivei legi
