SEC заставит исполнительных директоров отвечать за отчетность

Американская Комиссия по ценным бумагам и биржам готовит к введению в действие новые правила, которые заставят топ-менеджеров компаний с биржевым листингом отвечать за учетную практику своих организаций и ее соответствие высоким международным стандартам. Старший помощник генерального секретаря SEC Пракид Пуняштити (Prakid Punyashthiti) заявил, что дополнительные правила и требования для исполнительных директоров, финансовых директоров и главных бухгалтеров в компаниях с биржевым листингом требуются для того, чтобы обеспечить их соответствие бухгалтерским стандартам, вступающим в силу с 2018 года. Он добавил, что топ-менеджерам придется, по крайней мере, пройти (и не завалить при этом) тренировочную бухгалтерскую программу в Комиссии по ценным бумагам и биржам. Разрабатывать программу SEC будет в сотрудничестве с Федерацией бухгалтерских профессий (Federation of Accounting Professions). В скором будущем по ней должны последовать новые детали. Все это направлено на предоставление инвесторам информации в соответствии с высокими стандартами качества – добавил Пракид Пуняштити. Согласно официальной статистике SEC, с 2012 года по август этого года более половины компаний, подававших заявления на IPO, имели проблемы с финансовой отчетностью, требующие дополнительных корректировок. По словам старшого помощника генерального секретаря SEC, они в Комиссии хотят регулировать исходящий из компаний информационный поток на верхнем уровне, что как раз и означает, что исполнительных и финансовых директоров сделают ответственными за обеспечение соответствия отчетности их компаний установленным стандартам. Аудиторы же, таким образом, находятся “ниже по течению”, и не они в этот раз в центре внимания. В самом деле, “даже если аудиторы “из шкуры вон лезут”, отчетность все равно не будет соответствовать правилам, если топ-менеджеры не в курсе вопроса” – добавляет Пракид Пуняштити.
